These terms govern your use of the Dropie platform. We believe in fair, transparent agreements that protect everyone's interests under Slovak and EU law.

1. Introduction and Acceptance
1.1 Agreement to Terms
These Terms of Service (“Terms,” “Agreement”) constitute a legally binding contract between you (“User,” “Customer,” “you”) and Dropie s.r.o. (“Company,” “dropie.io,” “we,” “us”) governing your use of the dropie.io platform (the “Service”).
This Agreement is governed by:
- Act No. 513/1991 Coll. (Commercial Code - Obchodny zakonnik)
- Act No. 40/1964 Coll. (Civil Code - Obciansky zakonnik)
- Act No. 250/2007 Coll. on Consumer Protection
- Act No. 102/2014 Coll. on Consumer Protection in Distance Contracts
- Act No. 22/2004 Coll. on Electronic Commerce
- Regulation (EU) 2016/679 (GDPR)
BY USING THE SERVICE, YOU AGREE TO THESE TERMS. If you do not agree, do not use the Service.

1.3 Eligibility
To use the Service, you must:
- Be at least 18 years old (or 16 with parental consent for limited use)
- Have legal capacity to enter contracts under Slovak law
- If acting for an organization, be authorized to bind it to these Terms
- Not be subject to sanctions or trade restrictions
1.4 Consumer Rights Notice
For Consumers (Spotrebitel)
If you are a consumer under Slovak law, you have additional rights that cannot be waived:
- 14-day withdrawal right for distance contracts (see Section 4.6)
- Protection against unfair contract terms
- Right to information before contract conclusion
- Access to Alternative Dispute Resolution (ADR)
2. Description of Service
2.1 Service Overview
dropie.io provides:
- Document Management - Secure storage, organization, and sharing
- Data Rooms - Virtual spaces for controlled document access
- Electronic Signatures - Legally valid digital signing (eIDAS compliant)
- Forms and Workflows - Custom forms and automated document generation
- Client Portals - Branded portals for external collaboration
- AI Features - Document analysis and intelligent assistance
2.2 Service Tiers

2.3 Service Modifications
We may modify the Service with:
- New features: No notice required
- Material changes: 30 days' notice
- Feature removal: 90 days' notice where feasible
- Price changes: 30 days' notice
3. Account Registration and Security
3.1 Account Creation
You must provide:
- Valid email address
- Full legal name
- Secure password
- Company information (for business accounts)
You agree to provide accurate information and update it when changes occur.
3.2 Account Security
Your Responsibilities:
- Maintain password confidentiality
- Use strong passwords (minimum 12 characters recommended)
- Enable two-factor authentication
- Report unauthorized access immediately to support@dropie.io
- Not share credentials
You are responsible for all activities under your account. We are not liable for unauthorized access due to your failure to protect credentials.
3.3 Account Suspension and Termination
We may suspend your account for:
- Violation of these Terms
- Non-payment (after notice)
- Security concerns
- Legal requirements
We will notify you of suspension and provide opportunity to remedy (unless prohibited by law or immediate risk exists).
4. Subscription and Payment
4.1 Pricing
- Prices available at https://dropie.io/pricing
- Prices in EUR unless otherwise stated
- Prices exclude VAT (DPH) - added based on applicable rate
- Slovak VAT rate applies to Slovak customers
4.2 Payment
- Payments processed by Rainex
- Credit cards and other methods accepted
- Payments due in advance
- Automatic renewal unless cancelled
4.3 Invoicing
Per Slovak Act No. 222/2004 Coll. on VAT, we issue invoices containing:
- Our company details (ICO, IC DPH)
- Invoice number and date
- Service description
- Price breakdown (net + VAT)
- Your details (if business customer)
4.4 Non-Payment

4.5 Price Changes
- 30 days' notice before price increase
- Current price honored until renewal
- You may cancel if you don't accept new pricing
4.6 Consumer Withdrawal Right
For Consumers under Act No. 102/2014 Coll.
You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days from the day of contract conclusion.
To exercise your withdrawal right, inform us (Dropie s.r.o., support@dropie.io) of your decision by clear statement.
Effects of Withdrawal: We will reimburse all payments within 14 days via the same payment method you used.
4.7 Refund Policy

5. User Content
5.1 Ownership
You retain all ownership rights to your content. We do not claim ownership of your documents, files, or data.
5.2 License Grant
You grant us a limited license to:
- Store and process your content
- Display content to authorized users
- Create backups
- Provide AI analysis (when you request it)
This license is solely for providing the Service and terminates when you delete your content.
5.3 Content Restrictions
You may not upload content that:
- Violates Slovak or EU law
- Infringes intellectual property rights
- Contains malware or malicious code
- Is defamatory, obscene, or illegal
- Violates third-party rights
6. Electronic Signatures
6.1 Legal Framework
Our electronic signature service complies with:
- Regulation (EU) No 910/2014 (eIDAS)
- Act No. 272/2016 Coll. on Trust Services (Zakon o doveryhodnych sluzbach)
6.2 Legal Validity
Electronic signatures have legal validity under Slovak law:
- Simple Electronic Signature (SES): Admissible as evidence
- Advanced Electronic Signature (AES): Enhanced legal standing with unique identification
Under eIDAS Article 25, electronic signatures cannot be denied legal effect solely because they are electronic.
6.3 Limitations
Certain documents under Slovak law may require:
- Notarial deed (notarska zapisnica)
- Officially certified signature (uradne overeny podpis)
- Qualified electronic signature with qualified certificate
Examples: Real estate transfers, certain corporate documents, wills.
Consult a Slovak lawyer for documents with specific formal requirements.
6.4 Audit Trails
We maintain audit trails for minimum 10 years per Act No. 272/2016 Coll., including:
- Signer identification
- Timestamps
- IP addresses
- Document hashes
- All signing events
7. AI Features
7.1 Description
AI features include document analysis, field detection, OCR, and intelligent suggestions.
7.2 Limitations
- AI outputs may contain errors
- AI is not a substitute for professional advice
- You must review all AI outputs
- AI features are provided “as is”
7.3 Data Processing
- AI processing only when you request it
- Content not used for AI training
- Processed by Anthropic under DPA
- Subject to our Privacy Policy
8. Intellectual Property
8.1 Our Rights
The Service (software, design, documentation) is owned by Dropie s.r.o. and protected by:
- Copyright (Act No. 185/2015 Coll.)
- Trademark rights
- Trade secrets
8.2 Your License
We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms.
8.3 Restrictions
You may not:
- Copy, modify, or reverse engineer the Service
- Remove proprietary notices
- Use our trademarks without permission
- Resell or redistribute access
- Build competing products using the Service
9. Acceptable Use
9.1 Prohibited Activities
You may not use the Service to:
- Violate any law (Slovak, EU, or applicable international)
- Commit fraud or financial crimes
- Harass, defame, or harm others
- Distribute malware
- Attempt unauthorized system access
- Circumvent security measures
- Violate export controls
9.2 Resource Usage
Use the Service reasonably. Excessive use may result in:
- Request to upgrade
- Temporary restrictions
- Additional charges
10. Warranties and Disclaimers
10.1 Our Warranty
We warrant that:
- The Service will perform substantially as described
- We have rights to provide the Service
- We implement reasonable security measures
10.2 Disclaimer
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR PARTICULAR PURPOSE
- ERROR-FREE OPERATION
10.3 Consumer Rights
For consumers under Slovak law, statutory warranty rights under Act No. 250/2007 Coll. and Civil Code are not affected. You have the right to remedy for defects in services.
10.4 No Professional Advice
The Service is a technology platform. We do not provide:
- Legal advice (pravne poradenstvo)
- Tax advice (danove poradenstvo)
- Financial advice
Consult licensed professionals for such matters.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
- Indirect, incidental, or consequential damages
- Loss of profits or business opportunities
- Loss of data
- Business interruption
11.2 Liability Cap
Our total liability shall not exceed:
- Fees paid in the 12 months preceding the claim, OR
- EUR 100 (whichever is greater)
11.3 Exceptions
These limitations do NOT apply to:
- Death or personal injury from negligence
- Fraud or fraudulent misrepresentation
- Liability that cannot be limited under Slovak law
- Gross negligence (hruba nedbanlivost) or willful misconduct (umysel)
11.4 Consumer Rights
For consumers, statutory liability provisions under Slovak Consumer Protection Act cannot be waived. Nothing in these Terms limits your statutory consumer rights.
12. Indemnification
You agree to indemnify and hold us harmless from claims arising from:
- Your use of the Service
- Your content
- Your violation of these Terms
- Your violation of third-party rights
This obligation does not apply to consumers for claims not caused by their intentional or negligent conduct.
13. Term and Termination
13.1 Term
These Terms are effective until terminated.
13.2 Your Termination
You may terminate by:
- Cancelling subscription in Settings
- Deleting your account
- Contacting support@dropie.io
Consumer withdrawal rights apply per Section 4.6.
13.3 Our Termination
We may terminate:
- For cause: Immediately upon material breach
- For convenience: 30 days' notice with pro-rata refund
13.4 Effect of Termination
Upon termination:
- Your access ends
- Export your data before termination
- Data deleted per retention policy
- Electronic signatures retained per legal requirements
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Slovak Republic.
14.2 Informal Resolution
Before formal proceedings, contact us at support@dropie.io. We will attempt to resolve disputes within 30 days.
14.3 Jurisdiction
Disputes shall be resolved by the courts of the Slovak Republic with jurisdiction determined per Civil Procedure Code (Act No. 160/2015 Coll.).
For consumers: You may bring proceedings in your place of residence.
14.4 Alternative Dispute Resolution (ADR)
For Consumers under Act No. 391/2015 Coll.
You have the right to submit disputes to alternative dispute resolution. Contact:

16. General Provisions
- Entire Agreement: These Terms, Privacy Policy, and Cookie Policy constitute the entire agreement
- Severability: If any provision is invalid under Slovak law, it shall be modified or severed; remaining provisions continue in effect
- Waiver: Our failure to enforce any right does not waive that right
- Assignment: You may not assign these Terms without our consent. We may assign freely
- Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control
- Language: These Terms are in English. In case of discrepancy with Slovak legal requirements, Slovak law prevails
17. Changes to Terms
We may modify these Terms with:
- Material changes: 30 days' email notice
- Minor changes: Updated date, posted on website
If you disagree with changes, you may stop using the Service, cancel subscription, or delete your account. Continued use after effective date constitutes acceptance.
